Florida LLC: Sunbiz, and the May 1 deadline that costs $400

Forming an LLC in Florida costs $125 on Sunbiz and is usually done the same week. Then, every year, an annual report of $138.75 due by 1 May — and if it is one day late the state adds a flat $400, with no grace period and no appeal. Two things about the cost. First, the fee is $125, not $100. Florida splits it: $100 for the Articles of Organization and $25 to designate a registered agent, and the designation is not optional, so every page that tells you a Florida LLC costs $100 is quoting half the invoice. Second, at checkout Sunbiz offers a certified copy for $30 and a certificate of status for $5. Neither is needed to form the company. A bank might ask for a certificate of status later, and you can buy one then, for $5, in about a minute.

After that Florida is simple, if not quite cheap: $138.75 a year, and no franchise tax, no entity tax, no publication requirement and no state income tax on the profit that flows to your personal return. Five years costs $680 — more than most states, and every dollar of it above the filing fee is that one annual report. There are no surprises in the number. It only becomes expensive if you forget the date.

Sunbiz is the only official site. It is run by the Florida Department of State's Division of Corporations at sunbiz.org, and it takes cards. Every other site charging you to file in Florida is a middleman adding a fee to the same form.

1 May, and the ladder that follows it

The annual report is not a report. It is a short confirmation of your address, your registered agent and your managers — five fields, most of them pre-filled — and it takes about ten minutes. It costs $138.75. That is the whole obligation, and it is the entire reason Florida LLCs stop existing.

What makes Florida different from every other state is the shape of the penalty. Most states charge a proportionate late fee, or a small one, or give you a grace period. Florida charges a flat $400, immediately, on 2 May. It is nearly three times the report. It cannot be waived and there is no appeal.

The September dates matter and they move. The Division of Corporations' cut-off is the third Friday in September for the filing to land; entities still unfiled are administratively dissolved at the close of business on the fourth Friday. Cheque payments have to arrive earlier than card payments. If you have reached September, pay by card and do it that week.

Reinstatement afterwards is possible — $100 plus $138.75 for every report year you missed — and it restores the LLC as if it had never lapsed. But in the gap the company was dissolved, and whatever you signed in that gap you may have signed personally.

Your first report isn't this year

This is the detail that makes the deadline so easy to miss. Florida Statutes §605.0212 says the first annual report is delivered "between January 1 and May 1 of the year following the calendar year in which the limited liability company's articles of organization became effective." Not the anniversary — the following calendar year.

So an LLC formed in February gets fourteen months before it hears from the state, and one formed in November gets six. Either way, the first year is silent: no report, no fee, no email that says "your annual report is due." The habit never forms, and then a year later a $400 penalty arrives for a $138.75 filing. It is the single most common way a Florida founder loses money to the state.

The failure here is never confusion about the rule. It is that nobody sets a reminder in the fifteen minutes after forming the company, when the whole thing is fresh. Tell this which year you formed in and it works out which year your first report falls in, which Fridays in September the dissolution deadlines land on, and hands you a calendar file with a week's warning on each date. The letters that will arrive, and which to bin

Florida's business register is public, searchable and downloadable, so within days of your filing being accepted your name and address are in the hands of every mailing list in the state. What arrives next looks official. The Division of Corporations publishes a consumer notice about it and is fairly blunt: read solicitations carefully, and don't confuse them with Sunbiz.

The usual forms are these. A letter offering to file your annual report for $200 to $250 — the state charges $138.75 and the letter is a middleman, sometimes a legitimate one, sometimes not. A "Certificate of Status" offer for $50 or more — the state charges $5. And an "Annual Minutes" or "Annual Corporate Records" form with a fee attached, which the Division states plainly is not required by its office or any other government agency. In January and February the emails start too, timed to the filing window and worded to look like a deadline notice.

The test is simple. Anything real from the Division of Corporations points at sunbiz.org, costs $138.75, and doesn't need you to post a cheque to a PO box in a different county.

Two things a genuine notice never does: it never asks for your bank details by email, and it never charges more than the statutory fee. If a document quotes a price you can't find on sunbiz.org's fee page, it isn't the state.

No income tax, but three things Florida does want

Florida levies no personal income tax, so an LLC's profit passing through to your personal return isn't taxed by the state. That is real and it is the reason a lot of people move here. What Florida does collect from a small business is narrower and more specific.

Sales tax
6% state, plus a county discretionary sales surtax that varies by county. Register free with the Florida Department of Revenue before you sell taxable goods or services.
Not commercial rent, any more
Florida was the only state that charged sales tax on commercial rent. HB 7031 repealed it with effect from 1 October 2025, so a lease signed now carries no state business rent tax. Older guides still say otherwise.
Reemployment tax
Florida's name for unemployment insurance. It only starts when you hire — quarterly wages over $1,500, or one employee for twenty weeks — and it is registered with the Department of Revenue on the same form.
Corporate income tax, if you elect it
5.5% on Florida net income, but only for entities taxed as corporations. An LLC taxed as a disregarded entity or a partnership owes no Florida income tax — which is the normal case, and why most Florida LLCs never file a state return at all.
Local licences
Many counties and cities still run a Business Tax Receipt (the old occupational licence), typically $20 to $100 a year. It is separate from everything on this page and nobody at the state will tell you about it.

What Florida does not have is worth listing too, because it removes several of the traps on the state-by-state table: no franchise tax on the entity, no publication requirement, no initial report, no minimum tax. Once the annual report is filed the state has nothing else to ask you for.

Common questions

Is a Florida LLC $100 or $125?

$125. The Articles of Organization are $100 and the registered agent designation is a separate, compulsory $25. A certified copy ($30) and a certificate of status ($5) are genuinely optional and can be bought later.

When is my first annual report due?

Between 1 January and 1 May of the year after the calendar year your Articles took effect. An LLC formed in November 2026 files its first report by 1 May 2027, the same as one formed in February 2026. Nothing at all is due to the Division of Corporations in the year you form.

Can the $400 late fee be waived?

No. Florida applies it as a flat statutory penalty from 2 May with no grace period, and the Division of Corporations does not waive it — not for a first offence, not for a one-day delay, and not for a business that made no money. The only way out of it is to file before 1 May.

What happens if I never file the annual report?

The LLC is administratively dissolved at the close of business on the fourth Friday of September. It stops existing as a legal entity, the name is released for anyone else to take, and anything you sign after that date you may have signed personally rather than as the company. Reinstatement costs $100 plus $138.75 for each missed report year and restores the LLC retroactively.

How long does Sunbiz take to approve an LLC?

Online filings paid by card are typically processed within a few business days, and the Division publishes current document processing dates on its site. Filings sent by post with a cheque take considerably longer because they queue behind the electronic ones.

Do I need a Florida address to form an LLC there?

You need a Florida street address for the registered agent, and that agent must sign the acceptance. You do not need to live in Florida yourself. But if the business is actually run from another state, that state will want you registered there too — forming in Florida to avoid your own state's rules does not work.

Does a Florida LLC pay state income tax?

Not if it is taxed as a disregarded entity or a partnership, which is the default. Florida has no personal income tax, so the profit that flows to your return is untaxed by the state. Only LLCs that elect to be taxed as corporations pay Florida's 5.5% corporate income tax.

I got a letter asking $250 to file my annual report. Is it real?

It is real post from a real company, but it is not the state and you do not need it. The Division of Corporations charges $138.75 and the filing takes ten minutes at sunbiz.org.
