Start a business in Utah

In Utah the recurring bill that grows is not the state's — it is your city's. Utah Code §10-1-203 lets every municipality build a business licence out of three separate fees, and the third one is commonly calculated from how many people you employ. So hiring your fourth person can raise next year's licence, two identical firms a mile apart in different cities can pay very different amounts, and working from home doesn't automatically exempt you. Meanwhile the state itself is one of the easiest in the country to deal with.

"Utah has no state business licence" is true and slightly misleading. There is no general licence at state level — but a city licence is close to universal here, home-based businesses included, and it is the charge you will keep paying. One licence, three fees, and the third one watches your payroll

Under §10-1-203 a municipality may charge a business licence made of up to three components. Salt Lake City stacks all three; smaller cities may charge only the first. Read them in order, because the third is the one that behaves unlike a licence fee anywhere else:

A base licence fee
The flat cost of being licensed at all. This is the part most founders expect and budget for.
A regulatory fee
For trades the city actively monitors — food, alcohol, childcare, anything inspected. It covers the cost of the monitoring rather than the licence.
A 'disproportionate cost' fee
Charged where a business consumes more municipal service — police and fire, principally — than an average one. In practice cities commonly calculate it from employee count.

That last component is the reason this page exists. It means your licence bill is not a fixed cost of trading; it is partly a function of headcount, and it can rise in a year when nothing else about your business changed except that you hired. It also means the answer to "what does a business licence cost in Utah?" is genuinely different in Provo and in Salt Lake City, for the same firm.

Working from home is not an exemption: Utah cities license home-based businesses too. Utah taxes software you never install

One base question catches software businesses. Tax Commission Publication 64 says that licence fees for remotely accessed prewritten software are taxable if the software is used in Utah. So a SaaS subscription sold to a Utah customer sits inside the base, where in most states it would not — and a Utah business paying for SaaS from elsewhere should expect to see tax on those invoices too.

There is a sensible provision for multi-site customers: where the software is used at more than one location, the buyer can give the seller a reasonable allocation method, so only the Utah-used share is taxed. If you sell seats to companies with offices in several states, build the ability to record that allocation into your billing rather than bolting it on later — and if you are setting a subscription price with tax on top of it, decide how you are presenting that before the first invoice rather than after.

Owners, partners and corporate officers can exclude themselves by filing a coverage waiver.
